1. Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RiskState API, website (riskstate.ai), documentation, and any related services (collectively, the "Service") provided by Digital Venture Asset LLC, a Delaware limited liability company ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

RiskState provides a deterministic risk governance API that processes publicly available market data and returns structured risk assessments, policy constraints, and market classifications. The Service:

  • Provides informational data and risk scores only
  • Does not execute trades or transactions on your behalf
  • Does not custody, hold, or manage any digital assets
  • Does not provide personalized financial, investment, or legal advice
  • Does not operate as a broker, dealer, exchange, or investment adviser

3. API Access and Keys

Access to the API requires an API key issued at our sole discretion. You are responsible for maintaining the confidentiality of your API key. You may not share, sell, or transfer your API key to third parties without our prior written consent. We reserve the right to revoke API access at any time, with or without cause, including but not limited to: violation of these Terms, abuse of the Service, or non-payment of fees (when applicable).

4. Acceptable Use

You agree not to:

  • Resell, redistribute, or sublicense API responses without authorization
  • Use the Service to manipulate markets or engage in fraudulent activity
  • Attempt to reverse-engineer the scoring algorithms or policy engine
  • Exceed rate limits or use automated means to overload the Service
  • Misrepresent RiskState output as personalized financial advice to end users
  • Use the Service in violation of any applicable law or regulation

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Service will be uninterrupted, error-free, or that any data, scores, or classifications will be accurate, complete, or timely. Market data is sourced from third-party providers (CoinGecko, Binance, CoinGlass, FRED, and others) and may be delayed, incomplete, or inaccurate. We are not responsible for errors or omissions in third-party data.

Risk scores, policy levels, and classifications are computed algorithmically from publicly available data. They reflect a quantitative model's output, not a human analyst's judgment. Models can be wrong, especially during unprecedented market conditions.

6. Risk Disclosure

The use of the RiskState API in connection with cryptocurrency trading involves significant risks. You acknowledge and accept the following:

Market Risk

Cryptocurrency markets are highly volatile. Prices can fluctuate dramatically in short periods. Past performance and historical correlations do not guarantee future results. The composite score and policy levels are based on historical patterns that may not repeat.

Model Risk

The scoring engine is a quantitative model with inherent limitations. It may fail to anticipate black swan events, regime changes, regulatory actions, or novel market conditions. A "GREEN" policy level does not mean trading is safe — it means the model's inputs suggest relatively favorable conditions based on the signals it monitors.

Data Risk

The Service depends on real-time data from multiple third-party APIs. Data may be delayed, unavailable, or incorrect. During outages, the Service falls back to cached or estimated values, which may not reflect current conditions.

DeFi and Smart Contract Risk

If you use RiskState to govern DeFi positions, you remain solely responsible for smart contract risk, protocol exploits, oracle manipulation, and liquidation cascades. RiskState does not audit or verify the security of any DeFi protocol.

Regulatory Risk

Cryptocurrency regulation varies by jurisdiction and is rapidly evolving. You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction.

Autonomous Agent Risk

If you integrate RiskState with autonomous trading agents, you are solely responsible for the agent's behavior, including any trades executed based on RiskState output. The Company is not liable for losses resulting from agent actions, whether or not those actions were consistent with RiskState policy constraints.

Loss of Capital

You may lose some or all of your invested capital. Never risk more than you can afford to lose. The Service is a tool, not a guarantee of profits or protection from losses.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL VENTURE ASSET LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO YOUR DATA OR API KEY; (C) ANY THIRD-PARTY DATA ERRORS OR OMISSIONS; (D) ANY TRADES, INVESTMENTS, OR FINANCIAL DECISIONS MADE BASED ON THE SERVICE.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100), whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless Digital Venture Asset LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or any third-party claims related to your integration of the Service into your applications or trading systems.

9. Intellectual Property

All rights, title, and interest in the Service, including the scoring algorithms, policy engine, API design, and documentation, are and shall remain the exclusive property of Digital Venture Asset LLC. Your API access does not grant you any intellectual property rights in the Service.

10. Modification and Termination

We reserve the right to modify these Terms at any time. Material changes will be communicated via the website or email. Continued use of the Service after changes constitutes acceptance. We may suspend or terminate the Service or your access at any time, for any reason, without prior notice.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. You waive any right to a jury trial.
